Action to Approve Updated Contract Language for the First Amendment to the Contract Between the County of Santa Clara and the City of Santa Clara for the Senior Nutrition Program - Congregate Meals

 

Report

BACKGROUND

The City of Santa Clara (City) works collaboratively with the County of Santa Clara (County) to provide a Senior Nutrition Congregate Meals Program (Program) at the Santa Clara Senior Center. The Program is designed for seniors, aged 60 and over, serving a basic need for lower-income households and special needs populations. The goals of the Program are to reduce hunger and food insecurity, increase socialization, and promote the well-being of older adults. The Program also serves as a gateway to other supportive community programs and services at the Senior Center.

 

On June 25, 2024 (RTC #24-372), the City Council approved a contract with the County for the provision of the Program for FY 2024/25, effective July 1, 2024 through June 30, 2025 (Attachment 1).

 

On January 13, 2026 (RTC #26-1008), the City Council approved Amendment No. 1 to the contract with the County to reinstate the underlying contract and extend its term for one year, from July 1, 2025, through June 30, 2026, along with related budget amendments (7-0) (Attachment 2).

 

Following Council approval and prior to execution of Amendment No. 1, the County requested revisions to Article I and IV and Exhibit A to comply with County contracting standards and applicable legal requirements.

DISCUSSION

The purpose of this item is to seek City Council authorization for the City Manager to approve updated contract language required by the County prior to execution of Amendment No. 1 to the contract for the Senior Nutrition Congregate Meals Program (Attachment 3).

 

The requested revisions modify language within Article I and IV and Exhibit A. The changes are administrative in nature and do not alter the scope of services, compensation, or overall program requirements previously approved by the City Council. The updates are solely intended to ensure compliance with County contracting standards and applicable legal requirements. All other terms and conditions of the agreement remain unchanged.

 

The revisions include the following:

ENVIRONMENTAL REVIEW

The action being considered does not constitute a “project” within the meaning of the California Environmental Quality Act (“CEQA”) pursuant to CEQA Guidelines section 15378(b)(5) in that it is a governmental organizational or administrative activity that will not result in direct or indirect changes in the environment.

FISCAL IMPACT

The proposed action to approve updated contract language for Amendment No. 1 is administrative in nature and has no fiscal impact. Funding for the Senior Nutrition Congregate Meals Program, including the County reimbursement, the required City match, and related budget amendments, was previously approved by the City Council on January 13, 2026. This action does not require any additional appropriations in FY 2025/26. Any administrative or reporting requirements associated with the revised agreement are covered within the Parks and Recreation Operating Budget.

RECOMMENDATION

Recommendation

1.                     Approve and authorize the City Manager to execute Amendment No. 1 to the Contract between the County of Santa Clara and the City of Santa Clara for the provisions of the Senior Nutrition Congregate Meals Program for the Fiscal Year 2025/26, incorporating the updated contract language required by the County, and subject to approval as to form by the City Attorney;

2.                     Authorize the City Manager to execute a subsequent amendment, if offered by the County, to extend the term of the Agreement for Fiscal Year 2026/27, subject to approval as to form by the City Attorney and contingent upon the appropriation of sufficient funding; and

3.                     Authorize the City Manager to make minor modifications, including time extensions, to Amendment No. 1, if needed.
